BIDITPRO MOBILE APPLICATION END USER LICENSE AGREEMENT (EULA)

AGREEMENT TO TERMS

This End User License Agreement ("EULA") is a legal agreement between you and BiditPro LLC ("Company," "we," "us") for the BidItPro mobile applications for iOS and Android ("App"). By downloading, installing, or using the App, you agree to be bound by this EULA. If you do not agree, do not use the App.

LICENSE GRANT

Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to: download and install the App on mobile devices you own or control; and use the App for your personal or business purposes in connection with our services. This license does not allow you to use the App on any device you do not own or control, and you may not distribute or make the App available over a network.

LICENSE RESTRICTIONS

You may NOT: copy, modify, or distribute the App; reverse engineer, decompile, or disassemble the App; rent, lease, lend, sell, or sublicense the App; remove any proprietary notices or labels; use the App for any illegal purpose; use the App to violate any third-party rights; or attempt to gain unauthorized access to any systems.

INTELLECTUAL PROPERTY

The App and all content, features, and functionality are owned by BiditPro LLC and are protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

USER CONTENT

You retain ownership of content you submit through the App (photos, job descriptions, messages). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display that content in connection with operating and improving the platform.

UPDATES AND CHANGES

We may from time to time develop and release updates to the App, which may include bug fixes, new features, or security patches. Depending on your device settings, updates may download and install automatically. Continued use of the App after updates constitutes acceptance of any changes.

THIRD-PARTY SERVICES

The App may integrate with third-party services including: Stripe (payment processing); Supabase (backend services); mapping services; and push notification services. Your use of these services is subject to their respective terms and privacy policies.

DISCLAIMER OF WARRANTIES

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDITPRO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE APP. OUR TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID FOR THE APP, WHICHEVER IS GREATER.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless BiditPro LLC and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the App or violation of this EULA.

APP STORE TERMS

Apple App Store: This EULA is between you and BiditPro LLC only, not Apple. Apple has no obligation to provide maintenance or support. Apple is not responsible for any product warranties or claims. Apple is a third-party beneficiary of this EULA. Google Play Store: This EULA is between you and BiditPro LLC only, not Google. Google has no obligation regarding the App beyond making it available. Google is not responsible for the App or its content.

TERMINATION

This license is effective until terminated. Your rights under this license will terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the App and delete all copies from your devices.

GOVERNING LAW

This EULA shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration in Oklahoma.

SEVERABILITY

If any provision of this EULA is found to be unenforceable, the remaining provisions will continue in full force and effect.

ENTIRE AGREEMENT

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and BiditPro LLC regarding the App.
