1. INTRODUCTION AND ACCEPTANCE

Welcome to BidItPro, a mobile and web-based marketplace platform operated by BiditPro LLC ("Company," "we," "us," or "our"). BidItPro connects homeowners seeking lawn care, pool cleaning, house cleaning, fencing, and related property services ("Services") with independent service contractors ("Contractors") who provide those Services.

By accessing or using the BidItPro mobile applications (iOS and Android), website, or any related services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

These Terms constitute a legally binding agreement between you and BiditPro LLC. Please read them carefully before using our Platform.

2. PLATFORM DESCRIPTION AND ROLE

BidItPro is a marketplace platform that facilitates connections between homeowners and Contractors. We do not provide lawn care, pool cleaning, house cleaning, fencing, or any other property services ourselves.

Important Clarifications:

  • Contractors are independent businesses, not employees or agents of BidItPro
  • We do not supervise, direct, or control Contractors' work
  • We do not guarantee the quality, safety, or legality of Services provided
  • We do not set pricing for Services -- Contractors submit their own bids
  • We are not a party to any agreement between homeowners and Contractors

3. USER ACCOUNTS AND ELIGIBILITY

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use BidItPro. By creating an account, you represent that you meet these requirements.

3.2 Account Creation

To use certain features, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.3 Phone Verification

All users must verify their phone number before posting jobs or submitting bids. This verification is required for platform security and communication purposes.

3.4 Contractor Approval

Contractor accounts are subject to approval by BidItPro before bidding privileges are granted. The BidItPro team reviews Contractor registrations and, at its sole discretion, determines whether to approve an account for bidding. Contractors may optionally upload proof of insurance, which is displayed as a verified insurance trust badge on their profile. Insurance is not required to bid, but serves as a competitive advantage and signal of professionalism to homeowners.

4. HOW BIDITPRO WORKS

4.1 For Homeowners (Free to Use)

  • Post a job describing your service needs with photos and details
  • Receive competitive bids from approved local Contractors
  • Review Contractor profiles, ratings, insurance badges, and bid amounts
  • Accept the bid that best meets your needs at no cost to you
  • After acceptance, messaging is unlocked to coordinate directly with the Contractor

4.2 For Contractors

  • Browse available jobs within your service area
  • Submit bids on jobs you want to complete, using bid credits or an active subscription
  • When your bid is accepted, messaging is unlocked to coordinate with the homeowner
  • Coordinate directly with the homeowner to complete the service
  • Receive reviews that build your reputation on the platform
  • Earn bonus bid credits through good reviews, job completions, and tenure milestones

4.3 Bid Credits and Subscriptions

BidItPro uses a bid credit system for Contractors. Each time a Contractor submits a bid on a job, bid credits are deducted from their balance. Contractors may obtain bid credits or unlimited bidding privileges through the following tiers:

  • Free Tier: New approved Contractors receive a limited number of bid credits to get started on the platform at no cost.
  • Bid Packs: One-time purchases of bid credit bundles in various sizes.
  • Plus ($29/month): Unlimited bids on one (1) service category of the Contractor's choosing, plus standard bid credit accrual.
  • Elite ($79/month): Unlimited bids on selected service categories, plus standard bid credit accrual.
  • Diamond ($99/month): Unlimited bids on all service categories, plus standard bid credit accrual.

Subscription plans bypass bid credit deduction for the service categories covered by the plan. Bid credits are deducted at the time of bid submission, not upon bid acceptance. Homeowners are never charged any fees to use the BidItPro platform.

4.4 Messaging

After a homeowner accepts a Contractor's bid, full messaging is unlocked between the parties. Both parties may exchange contact information and coordinate service delivery through any preferred communication method.

5. FEES AND PAYMENT

5.1 Platform Fees

  • Homeowners: FREE -- No fees to post jobs, receive bids, or accept bids
  • Contractors: Bid credits are deducted upon bid submission. Credits may be obtained through the Free Tier allocation, Bid Pack purchases, or subscription plans (Plus, Elite, or Diamond).

5.2 Subscription Billing

Subscription plans (Plus, Elite, Diamond) are billed monthly. Subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period.

5.3 Payment Processing

All payments are processed securely through Stripe. By using BidItPro, Contractors agree to Stripe's terms of service for payment processing.

5.4 Service Payments

Payment for actual services is arranged directly between homeowners and Contractors. BidItPro does not process, hold, or guarantee payment for services rendered.

6. REFUND POLICY

6.1 Bid Credit Refunds

Contractors may be eligible for a bid credit restoration or refund in the following circumstances:

  • A verified technical failure on the Platform prevented a bid from being submitted or delivered properly
  • A duplicate charge occurred due to a system error
  • A job post is determined to be fraudulent or created in bad faith

Bid credits are generally non-refundable once used to submit a bid, as the credit represents access to the bidding opportunity.

6.2 Subscription Refunds

Monthly subscription refunds are handled on a case-by-case basis. Contractors who cancel a subscription will retain access through the end of the current billing period. No partial-month refunds are issued for voluntary cancellations. If a billing error or technical issue prevented access to subscription benefits, a pro-rata refund or account credit may be issued.

6.3 Bid Pack Refunds

Unused bid credits from Bid Pack purchases may be eligible for a refund within 14 days of purchase, provided no credits from that pack have been used. Once any credits from a Bid Pack have been used, the purchase is non-refundable.

7. PROHIBITED CONDUCT

You agree not to:

  • Abuse the bid credit system, including creating multiple accounts to obtain additional free credits
  • Create false or misleading job posts or bids
  • Harass, threaten, or discriminate against other users
  • Use the Platform for any illegal purpose
  • Attempt to manipulate ratings or reviews
  • Access accounts or data belonging to other users
  • Interfere with Platform operations or security
  • Submit bids with no intention of fulfilling the job

8. PLATFORM INTEGRITY

The bid credit economy and subscription system are essential to BidItPro's business model and enable us to provide the Platform free to homeowners. Any attempt to abuse, manipulate, or circumvent the bid credit system -- including but not limited to creating duplicate accounts to exploit free credits, using automated tools to submit bids, or colluding with other users to manipulate the bidding process -- is a material breach of these Terms and may result in immediate account termination, forfeiture of remaining bid credits, and potential legal action.

9. DISCLAIMERS AND LIMITATION OF LIABILITY

9.1 No Warranty

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDITPRO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless BiditPro LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

11. DISPUTE RESOLUTION

11.1 Informal Resolution

Before filing any formal proceeding, you agree to contact us at support@bidit.pro to attempt to resolve any dispute informally within 30 days.

11.2 Binding Arbitration

Any dispute not resolved informally shall be resolved by binding arbitration in accordance with the American Arbitration Association's rules. The arbitration shall take place in Oklahoma, and judgment on the award may be entered in any court of competent jurisdiction.

11.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

12. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law provisions.

13. CHANGES TO TERMS

We may modify these Terms at any time by posting the revised version on the Platform. Material changes will be communicated via email or in-app notification. Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms.

14. TERMINATION

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Platform ceases immediately. Any remaining bid credits or active subscription benefits are forfeited upon termination for cause. Provisions that by their nature should survive termination shall survive.
