BIDITPRO CONTRACTOR PARTICIPATION AGREEMENT

Effective Date: April 2, 2026

1. INTRODUCTION

This Contractor Participation Agreement ("Agreement") governs your participation as a service contractor ("Contractor") on the BidItPro platform operated by BiditPro LLC ("Company"). By registering as a Contractor, you agree to be bound by this Agreement.

2. INDEPENDENT CONTRACTOR STATUS

You are an independent contractor, not an employee of BiditPro LLC. This Agreement does not create an employment, partnership, joint venture, or agency relationship. As an independent contractor, you: control how, when, and where you perform services; are responsible for your own taxes; are not entitled to employee benefits; may work for other platforms; and must maintain your own business licenses and any insurance you choose to carry.

3. ELIGIBILITY REQUIREMENTS

To participate as a Contractor, you must: (a) Be at least 18 years old; (b) Have legal authority to perform the services you offer; (c) Complete phone verification; (d) Provide accurate business information; (e) Receive account approval from the BidItPro team; and (f) Comply with all applicable laws and regulations.

Contractor accounts are subject to review and approval by BidItPro before bidding privileges are granted. BidItPro reserves the right to approve or deny any Contractor registration at its sole discretion.

4. INSURANCE

Insurance is optional but recommended. Contractors who upload and verify valid insurance documentation will receive a verified insurance trust badge displayed on their profile. This badge is visible to homeowners and serves as a signal of professionalism and trustworthiness.

If you choose to upload insurance, we recommend General Liability Insurance with minimum coverage of $1,000,000 per occurrence and $2,000,000 aggregate. Insurance status does not affect your ability to submit bids or accept jobs on the Platform. However, you remain solely responsible for maintaining any insurance coverage required by applicable law for the services you perform.

5. BID CREDITS AND SUBSCRIPTIONS

5.1 Bid Credit System

BidItPro uses a bid credit system. Each time you submit a bid on a job, bid credits are deducted from your balance. Bid credits are non-transferable between accounts.

5.2 Obtaining Bid Credits

You may obtain bid credits through the following methods:

• Free Tier: Newly approved Contractors receive a limited allocation of bid credits at no cost.
• Bid Packs: One-time purchases of bid credit bundles in various sizes.
• Earned Credits: Bonus credits earned through good reviews (4-star and above), job completions, and tenure milestones on the platform.

5.3 Subscription Plans

Subscription plans provide unlimited bidding on covered service categories and bypass bid credit deduction for those categories:

• Plus ($29/month): Unlimited bids on one (1) service category.
• Elite ($79/month): Unlimited bids on selected service categories.
• Diamond ($99/month): Unlimited bids on all service categories.

Subscriptions are billed monthly and automatically renew unless canceled. Cancellation takes effect at the end of the current billing period.

5.4 Payment Processing

All payments for Bid Packs and subscriptions are processed through Stripe. By purchasing bid credits or subscribing to a plan, you agree to Stripe's terms of service for payment processing.

6. BIDDING OBLIGATIONS

When submitting bids, you agree to: (a) Provide accurate pricing based on job requirements; (b) Honor accepted bids at the quoted price; (c) Respond to homeowner messages within 48 hours; (d) Complete accepted jobs in a professional manner; (e) Not submit bids you cannot fulfill.

7. SERVICE STANDARDS

You agree to: perform services professionally and competently; arrive on time or communicate delays; treat homeowners and their property with respect; clean up work areas upon completion; address reasonable concerns about your work; and comply with all safety regulations.

8. PLATFORM INTEGRITY

You agree NOT to: create multiple accounts to obtain additional free bid credits; use automated tools or scripts to submit bids; collude with other users to manipulate the bidding process; submit bids with no intention of fulfilling the job; engage in any activity designed to abuse or circumvent the bid credit system; or encourage homeowners to cancel jobs and reconnect outside BidItPro. Violations result in immediate termination and forfeiture of any remaining bid credits and subscription benefits.

9. PROHIBITED CONDUCT

You shall not: submit false or misleading information; manipulate ratings or reviews; harass homeowners or other users; discriminate against any protected class; perform services while impaired; subcontract without disclosure; or engage in any illegal activity.

10. RATINGS AND REVIEWS

Homeowners may rate and review your services. You agree not to: offer incentives for positive reviews; threaten homeowners regarding reviews; create fake reviews; or retaliate against homeowners for negative reviews. We may remove reviews that violate our policies. Good reviews (4-star and above) may earn you bonus bid credits as part of our earn mechanics.

11. PAYMENT FOR SERVICES

Payment for services is arranged directly between you and the homeowner. BidItPro does not process, guarantee, or mediate service payments. You are responsible for collecting payment and resolving any payment disputes directly with homeowners.

12. SUSPENSION AND TERMINATION

We may suspend or terminate your account for: violation of this Agreement or other policies; pattern of poor ratings or complaints; fraudulent activity; abuse of the bid credit system; or any other reason at our discretion. Upon termination for cause, all remaining bid credits and subscription benefits are forfeited. You may terminate by deleting your account; unused Bid Pack credits may be eligible for refund per our Refund Policy.

13. LIMITATION OF LIABILITY

BIDITPRO LLC IS NOT LIABLE FOR: the conduct of homeowners; non-payment for your services; property damage or injuries during service; disputes between you and homeowners; or lost profits or business opportunities. Our total liability shall not exceed the fees you paid to us in the 12 months preceding any claim.

14. INDEMNIFICATION

You agree to indemnify and hold harmless BiditPro LLC from any claims, damages, or expenses arising from: your services or conduct; your violation of this Agreement; your violation of any law; or disputes with homeowners.

15. GOVERNING LAW

This Agreement is governed by the laws of the State of Oklahoma. Disputes shall be resolved through binding arbitration in Oklahoma.
